I am waiting for a response on the revised M.O.U that I sent to the F.E.C.'s general counsel last Friday. I hope to receive a response from them sometime today or tomorrow. Also, I understand from Lisa Berkson that there will be a vote on November 281h supportintf or rejecting this M. O. U which will determine the outcome ofthe crossing at N.E. 199 street. The imtial traffic study was done in 1996 and was eutitled Mainreuance of Traffic Plan Mod!fications U.S. J and N.E. 203,a Street. It proposed modifications to the interchange construction plans to open a temporary crossing of the r~lroad at 199d, Street. It projected traffic volumes to the Year 2000, which was consistent with the original Environmental impact Statement done for thc interchange. 'Dm most current ~alysis is entitled Railroad Crossing at Biscayne Boulevard and Avc~m{ra Boulevard Trqffic Study and was completed in Ap~l 2(}00. it evaluated uraking the temporary crossing a permm~ent one. More ann'ent trafl2c counts (1998) were collected along N.E. 199' Street at both U.S. 1 and at West D~xie Highway reflecting the effects of the temporary, railroad crossing. These cOuntS were used to update Year 2000 traffic projections. Thc current proposal for the railroad crossing is to offer only the eastbound right turn. not the fall eastbound movements. Therefore, I have reassigned updated Ye~ 2000 traflSe projections to the proposed eastbound lane configuration (:fight tums only) The results at fire intersection analyses at U.S. 1 and 199m Street are as follows: AM Peak Without crossing LOS B v/c = 0.49 With full crossing LOS D v/c = 0.75 With partial crossing LOS C v/c = 0.63 PM Peak Without crossing LOS C v/C = 0.78 With full crossing LOS D vic = 0.89 With partial crossing LOS C vic = 0.72 The Y/c ratm is a measure of the amount of the intersecnon capacity consmned. D INTRODUCTION The Florida Department of Transportation is currently completing the construction of an urban interchange at the intersection of NE 20Yd Street and Biscayne Boulevard. As part of the maintenance bf traffic plan for this interchange project, a temporary railroad crossing was implemented ~t the intersection of Aventura Boulevard and Biscayne Boulevard. The subject railroad crossi~ng extends Aventura Boulevard from Biscayne Boulevard, across the FEC railroad, to Dixie Highway', as illustrated in Figure 1. The temporary railroad crossing includes a new traffic signal at the intersection of Dixie Highway and Aventura Boulevard. Miller ConsuL~ting, Inc. has been retained by Tm'nberry Associates to conduct a traffic study associated with the new' railroad crossing at Aventura Boulevard. The purpose of this report is to determine the traffic benefits, if any, created by permanently maintaining the Aventura Boulevard railroad crossihg to the area transportation network. NE 203'a Street, Biscayne Boulevard, and Miami Gardens Drive are six-lane divided facilities. Both Dixie Highway and NE 26~h Avenue are t~vo-lane undivided roadways. The major sighalized intersections located within the study area are as follows: : NE 203rd Street and NE 26th Avenue : NE 203rd Street and Dixie Highway NE 203rd Street and Biscayne Boulevard Biscayne Boulevard and Aventura Boulevard Biscayne Boulevard and William Lehman Causeway Biscayne Boulevard and Miami Gardens Drive ;Miami Gardens Drive and Dixie Highway DATA COLLECTION Miller Consulting, Inc. reviewed several traffic studies undertaken within the limits of the study area for this project. These studies include: NE Biscayne Boulevard Traffic Study by Kimley-Hom and Associates, Inc., November 1995. Maintenance of Traffic Plan Modifications - US 1 and NE 203rd Street, Aventura, Florida, by Kimley-Horn and Associates, Inc., December 1996. Traffic Operations Improvement Study - NE 203rd Street at Biscayne Boulevard and West Dixie Highway' by Transport Analysis Professionals, March 1998. Traffic Operations Improvement Study - Biscayne Boulevard and Miami Gardens Drive Area by Transport Analysis Professionals, April 1998. Intersection turning movement counts coilected as part of the above studies were reviewed for purposes of th~s report. The locations and dates of these counts are summarized in Figure 2. Additionally, Miller Consulting, Inc., in association with Crossroads Engineering Data, Inc., collected interkection turning movement counts at the intersections of Biscayne Boulevard/ Aventura Boulevard and Aventura Boulevard / Dixie Highway. The dates of these counts are also summarized in Figure 2. The lane geom*try and signal timing plans for the major signalized intersections located within the study area wer~ obtained from the Kimley-Hom and Transport Analysis Professionals studies. Using the available counts, a complete 1998 turning movement volume base was established for all intersections (see Figure 3). This 1998 base intersection turning movement volume does not include any effects from the railroad crossing connection between Biscayne Boulevard and Dixie Highway on Aventura Boulevard. Using the 1998 base intersection turning movement count in Figure 3 and applying an annual growth rate of 0.94%, intersection turning movement counts were calculated for the year 2000 (see Figure 4). The year 2000 counts in Figure 4 neglect the impact of the Aventura Boulevard railroad crossing. To properly evaluate the effects of the Aventura Boulevard railroad crossing, Miller Consulting, Inc. collected intersection turning movement counts for the intersections of Aventura Boulevard at Biscayne Boulevard and Dixie Highway with the connection in place. Using these counts and the projected lane geometry, the year 2000 intersection turning movement volumes were adjusted and redistributed to account for the effects of the railroad crossing on the other intersections within the study area. A total of four (4) intersections were analyzed, as listed below: NE 203rd Street and Dixie Highway Biscayne Boulevard and Aventura Boulevard Biscayne Boulevard and Miami Gardens Drive Miami Gardens Drive and Dixie Highway The intersection analyses were performed following the capacity / level of service procedures outlined in the 1994 Highway Capacity Manual. Two scenarios were performed; one without the Aventura Boulevard railroad crossing and one with the crossing. AM 0.77 D 0.77 D PM 0.96 E 0.9 l E Source: 1994 Highway Capacity Manual As indicated in Table 1, the study area operates better, from a traffic engineering standpoint, with the Aventura Boulevard Railroad Crossing than without the crossing. l Indicated volume-to-capacity ratio. 10 CONCLUSIONS The proposed railroad crossing at the Aventura Boulevard intersection has to following benefits to the area transportation network: · Congestion is reduced at the intersection of US I and Miami Gardens Drive. Congestion is reduced at the intersection of Miami Gardens Drive and Dixie Highway. With the addition of a fourth leg and fourth signal phase, which generally degrade the operating characteristics of signalized intersections, the intersection of Aventura Boulevard and US I is projected to operate adequately with the subject railroad crossing in place. No area intersection is degraded to an unacceptable level of service with the proposed Aventura Boulevard railroad crossing. In addition to the above, the intersection of NE 203rd Street and Biscayne Boulevard is projected to process 300 less vehicles during the AM and PM peak hours (combined volumes), which will benefit the overall operation of the urban interchange at this location. Furthermore, the proposed interchange at NE 203rd Street and Biscayne Boulevard will restrict the following movement: Northbound US 1 to westbound NE 203r~ Street to northbound Dixie Highway. Vehicles that wish to execute the above maneuver are required to continue west to NE 26th Avenue, then turn right on NE 26th Avenue followed by another right-turn movement at NE 204~h Street and a left-turn at Dixie Highway. The proposed Aventura Boulevard railroad crossing would improve access to Dixie Highway, via Aventura Boulevard. The additional travel mentioned above, as a result of the interchange, is eliminated by the proposed railroad crossing. Sofio dated September 28, 2000, which was received by this office on September 29, 2000. In connection with your letter, we must respectfully disagree that the FCC Form 394 that we submitted is incomplete. Consequently, we do not agree that the 120-day review period specified in 47 C.F.R. § 76.502 has not commenced. The initial FCC Form 394 included all information required to determine the qualifications of Community Cable Television, a wholly-owned subsidiary of AT&T Corp., under federal and local regulations. As you may be aware, in 1993, the FCC explained that "use of the Commissions' standardized form in connection with the 120-day limitation will ensure that franchise authorities are provided with sufficient information to evaluate and render prompt decisions." 8 FCCR 6828, 6840. The Commission further stated that requests for additional information beyond the requirements of the local franchise do no toll the 120-day limitation. We hope that we can conclude this process before the 120-day period expires and that our conflicting views on this issue will not have to be formally resolved. With respect to the requirements and questions posed in your letter, we will respond to each in the manner set forth in the letter. Information Required By Section 9 F of Ordinance No. 97-20 Your letter indicates that the City hereby requires AT&T to resubmit its application to include "that information required by Section 9(0 of the Ordinance and Sections 30 (A)(3)(e) and (g) of the Franchise." Section 9 (F) of the Ordinance, generally applies to the "application for the grant of an initial Franchise .... "(Underline added.) However, Section 9 I. of the Ordinance does state that "an application for approval of a transfer of a Franchise shall comply with the requirements of Section 9 (E and I) and Section 24 hereof." Section 9 E. does not contain any provisions which apply to transfers and Section 9 I. is set forth in its entirety above. Therefore, we have complied with Section 9 E. and I. of the Ordinance. Compliance with Section 24 of the Ordinance (as required by Section 9 I.) is not applicable to transfers. In fact, it appears that the requirement is to comply with Section 23 of the Ordinance (as indicated in the Franchise Agreement). Section 23 B. of the Ordinance requires that an applicant for a transfer meet the requirements of Section 9 hereof which has been done (see discussion above). It further requires that "Except in the case of a pro forma transfer, the application shall provide, at a minimum, the information required in subsections 9(F)(1) - (F)(5) and (F)(14) with respect to the proposed transferee. The information required in subsections 9(F)(6) - (F)(13) shall also be provided whenever the proposed transferee expects material changes to occur in those areas. The FCC Form 394 contained an attachment ~:~ Recycled Paper addressing the information required by subsections 9(F)(1) - (F)(5). A copy is enclosed. The information required by 9(F)(14) is not applicable because it has not been requested, in writing, by the City. Again, the FCC Form 394 contained the information required by Section 9 (F)(I) - (5) and was therefore complete. Information Required By Sections 30 A (3)(e) and (g) of the Franchise Agreement The information required by Section 30 A(3)(e) was provided along with the FCC Form 394 and is contained in the annual report. More specifically, pages 7, g, 9, 12 and 13 describe AT&T Broadband% experience in operating cable systems. In addition, as an affiliate/subsidiary of AT&T, the City has had experience with our Company due to the fact that it currently holds a franchise with the City of Aventura. The City should be fully aware of our previous experience in operating cable systems. In addition, Exhibit 7 of the FCC Form 394 set forth the Company's experience in operating cable systems as well. Section 30 A(3)(g) requires that the transferee submit a proposed plan of operation. However, as indicated in our Additional Information Request submittod with the FCC Form 394, the information required is not applicable because the proposed transferee will own and operate the existing cable system currently owned by Comcast. Therefore, no time frame for construction is contemplated. Furthermore, there are no plans to change the existing product, services or rates. We will notify the City of our intentions and plans once a decision has been made in this regard. Section I (7) See response set forth above. Part II (la) As indicated in Section 2. of the Asset Exchange Agreement, the reason for "AT&T holding two (2) franchises in the same City" is because AT&T and Comcast are exchanging certain cable systems. The Comcast entity that is the holder of the franchise and the cable system assets in the City of Aventura is being swapped for an AT&T cable system in another part &the country. In order for the transaction to be completed as contemplated in the Asset Exchange Agreement the two franchises must be exchanged. The "potential ramifications" of such a result are not readily evident to AT&T. However, this is not a situation with which AT&T is unfamiliar. In fact, we currently have more than one franchise holder in Miami-Dade County and the operations of each entity (ultimately, including Community Cable Television) will be as consistent as possible in the South Florida market. At the present time, it is the intention of AT&T to have the former Comcast system continue operations as it currently does. When a decision is made as to when the two systems will be interconnected, we will notify the City of our intentions and plans. Section II (2) With respect to clarifying our response to this section, we are at a loss as to what needs clarification. Exhibit 3 clearly indicates that we do not have any specific plans to change the operations of the cable system as a consequence of the transaction. As indicated above, once a decision is made, including the interconnection of the two systems, we will notify the City of our intentions and plans. With regard to a statement of current compliance, we are unaware of any non-compliance issues between the City and Comcast (as the franchise holder). We will request Comcast to supplement this response if it is not accurate. Finally, we are unclear as to your request regarding the "applicability of the proposed Transferee's (AT&T) pre-existing obligations pursuant to its Acceptance of the TCI TKR Franchise." Please clarify what it is you are requesting. Section II (4) Upon the City's notification that the Commission is about to make its decision regarding the request for transfer, we will provide an updated status report on whether or not the Transferee had any interest in or connection with an application being dismissed or denied. Section IV. Transferee's/Assignee's Technical Qualifications As it pertains to a franchise transfer and a completed FCC Form 394, we are unaware of any requirement in the FCC Form 394, Ordinance No. 97-20 or the Franchise Agreement to provide any "affidavits from both Comcast and AT&T as to there compliance with the technical obligations required by the Ordinance and their respective franchises." Therefore, this request does not affect the commencement of the 120-day period for the City to act upon the FCC Form 394. Nevertheless, AT&T Broadband, to the best of its knowledge and belief, is in substantial compliance with the technical requirements of Ordinance No. 97-20 and its respective franchise. If the City is aware of any non-compliance matters, we would request that they notify us as soon as possible. Finally, please clarify the additional information requested as it pertains to "the AT&T system currently operating in the City." What specifically is the City requesting? As indicated above, once we have determined how the two systems will be interconnected, we will provide the City with our plans and intentions. However, if them is additional information the City would like us to provide, please let us know. We hope this letter is responsive to the issues raised by your letter. As demonstrated above, the FCC Form 394 submitted by AT&T and Comcast was complete as filed and the 120-day review period specified in 47 C.F.R. §76.502 was properly commenced upon receipt by the City. As set forth in the Form 394, Transferee is a wholly owned indirect subsidiary of AT&T Corp. Its immediate parent entities are Tele- Communications of Colorado, Inc. which is a 56.738% general parmer and TCI Cable Partner, Inc. which is a 43.262% general partner. It has no other 5% owners Additional information regarding AT&T Corp. is also included in the AT&T Corp. annual report included in the Exhibits to the Form 394. A list showing each of the subsidiaries of AT&T Broadband, LLC which holds cable television franchises is attached. Detailed financial information on AT&T Corp., the parent of Transferee is included in the AT&T Corp. annual report and 10Q included in the Exhibits to Form 394. Additionally, included in the annual report is a description of AT&T Corp.'s experience in the telecommunications industry. AT&T Corp. is the largest cable television operator in the United States. Attached is a list of franchises it holds through its subsidiaries. As described in the annual report, AT&T Corp. is extremely committed to creating and operating high quality telecommunication systems and continues to improve its systems to meet the needs of its subscribers. The Transferee will own and operate the existing system which has already been constructed by the Transferor. Therefore, no map and time frame for construction is included. Please see the Exhibits to the Form 394 regarding changes to the plan of operation for the system. At this point Transferee has no plans to change the products, services and rates currently offered to subscribers. 2 RESOLUTION NO. 2000-__ A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF AVENTURA, FLORIDA, DENYING THE TRANSFER OF THE COMCAST CABLE TELEVISION FRANCHISE TO AT&T BROADBAND; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, on August 31, 2000, the City of Aventura, Florida, received an FCC 394 requesting the City to consent to the proposed transfer of the Comcast cable television franchise to AT&T; and WHEREAS, pursuant to City of Aventura Ordinance No. 97-20 as amended by Ordinance No. 98-11 and the Comcast Franchise granted pursuant to Resolution No. 98-12, the City Commission must approve any change of control; and WHEREAS, the City has required that the applicant fulfill the obligations of the Ordinance and the Franchise and provide information on the proposed transaction including details on the legal, financial, technical qualifications of the transferee and such other information as may be in the public interest; and WHEREAS, under FCC Rules, 47 CFR §76.502, the City of Aventura has 120 days from the date of submission of a completed FCC Form 394, together with all exhibits, and any additional information required by the franchise agreement or applicable state or local law, to act upon and application to sell, assign, or otherwise transfer controlling ownership of a cable system; and Resolution No. 2000- Page 2 WHEREAS, it is the City's position that the 120 day automatic approval period has not commenced since the application to transfer submitted by Comcast is not complete; and WHEREAS, Comcast and AT&T have taken the position that the automatic approval period commenced on August 31, 2000 and the subject application shall be deemed approved as of December 30, 2000, absent any action by the City; and WHEREAS, it is the intent of the City to exercise its rights with respect to its authority to approve requests for transfers of cable franchises; and WHEREAS, the City requires compliance, or in the alternative, an enforceable plan to come into compliance with the City's cable ordinance and the Franchise Agreement and assurances that it is the interior of the proposed transferee to satisfy the terms and conditions of the transferee and the transferor's franchise agreements and any amendments thereto or agreements in connection therewith; and WHEREAS, AT&T has not provided to the City such written agreement; and WHEREAS, the City Commission shall act upon the application at its meeting on November 28, 2000 to avoid any potential claim by the applicant of "automatic approval" of the transfer. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF AVENTURA, FLORIDA, THAT: Section 1. The recitals and findings contained in the preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Resolution No. 2000- Page 3 Section 2. The Commission denies its consent to the application of the transfer of the cable television franchise granted for the City of Aventura, Florida from Comcast to AT&T based on the findings of the Commission that (a) Comcast, the current franchisee has failed to demonstrate that it is in complete compliance with the terms and conditions of Ordinance No. 97-20 as amended by Ordinance No. 98-11 and the franchise granted pursuant to Resolution No. 98-12, and (b) AT&T, the proposed transferee, has failed to submit a plan to comply with all ordinance and franchise agreement obligations of both the transferor and transferee. Section 3. a. This denial of consent does not constitute and should not be construed to constitute a waiver or release of any obligations of Comcast or AT&T under the Ordinance No. 97-20, Ordinance No. 98-11 or the current Franchise Agreement of either franchisee and any applicable law. b. This denial of consent does not and should not be construed to constitute a waiver of any rights of the City under Cable Ordinance No. 97-20 and 98-11, and Franchise Agreements and applicable law. Further, this denial of consent shall not prejudice the City's rights with respect to the enforcement, renewal, the currently pending transfer, or any subsequent transfer of an existing cable television franchise and any amendments thereto. Section 4. The City reserves all of its rights aursuant to Federal, state and local law, including, but not limited to the rights in (a) the franchise renewal process including, but not limited to, the right to consider violations of the franchise and any Resolution No. 2000- Page 4 Federal, state and local law in any subsequent renewal considerations regardless of whether such violations occurred prior to the effective date hereof; (b) the franchise transfer process including, but not limited to, the right to act upon any application to sell, assign or otherwise transfer controlling ownership or control of the cable system; and (c) the enforcement of Cable Television Ordinance No. 97-20 and Ordinance No. 98-11 and any amendments thereto. Section 5. a. This denial of consent is an express non-waiver and reservation of the City's rights and authority with respect to enforcement of Comcast's compliance with applicable law including, but not limited to, Ordinance No. 97-20 and Ordinance No. 98- 11. Comcast and its franchise agreement remains liable for any and all violation of law and of the City's Ordinance known or unknown, notwithstanding whether such violation arose prior to the effective date hereof. b. Comcast remains obligated to comply with all other applicable legal requirements and the City does not waive and expressly reserves the right to enforce full compliance with applicable ordinance and franchise requirements. c. Nothing in this Resolution precludes or is intended to preclude Comcast from reapplying for the City's consent to the transfer of the franchise to AT&T. Section 6. To the extent not prohibited by applicable law, the Franchisee agrees that cable Internet seavices, including, but not limited to, ~ Home, Roadrunner and Media Express or similar services, provided by the Franchisee, its parent, afl, hates or subsidiaries, over the cable system shall be deemed "cable services" as provided under Title VI of the Communications Act of 1934, as amended. It is the intent of the parties that this paragraph applies no more broadly than the existing cable television franchise with respect to other cable services. 11. Franchisee acknowledges that the Legislative History of the 1992 Cable Act contemplates that the City may address any deficiencies in service, including non-compliance, at the 6ane of any transfer or change of control of the franchise. The Franchisee agrees to ensure that it assumes responsibility for any and all non-compliance under the current franchise that may now exist or may later be discovered to have existed during the term of the franchise even if prior to the closing of the transfer of consol. 12.
