Dear Mr. Soroka:
As you requested, attached is a proposed five-year project list of unfunded capital
improvements to the Northeast Branch Library that might be funded by the City Council,
including estimated costs. The costs were calculated by in-house maintenance staff and
are very preliminary. A work order has also been sent to the County's G.SA
Department in order to obtain a more detailed estimate. We hope that this new list
contains the type of renovations that the City Council is interested in funding.
As has been true in the past, the County budget of the Northeast Branch Library will
remain equal to that of other subregional branches. Thank you again for your interest in
the Northeast Branch Library.

AN ORDINANCE OF THE CITY OF A VENTURA, FLORIDA;
EXTENDING THE DURATION OF THE EXISTING
BUILDING MORATORIUM ON ISSUANCE OF
DEVELOPMENT ORDERS AND DEVELOPMENT PERMITS
WITIllN THE MARINA AREA AND THE HOSPITAL AREA,
AS PREVIOUSLY IMPOSED PURSUANT TO ORDINANCE
NO. 97-22 OF THE CITY OF A VENTURA; BY AMENDING
SECTION 8 "TERM" OF ORDINANCE NO. 97-22 TO
PROVIDE FOR EXTENSION OF SUCH MORATORIUM, SO
AS TO ENABLE CITY'S COMPREHENSIVE PLAN TO BE
COMPLETED AND IMPLEMENTED; PROVIDING FOR
SEVERABILITY; PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, Pursuant to Ordinance No. 97-22 of the City of Aventura, as adopted on
September 16, 1997, the City Council provided for a moratorium upon the issuance oi
development orders and development permits concerning development within the Marina Area and
Hospital Area within the City, as described therein, so as to enable the formulation and
implementation of the City of Aventura Comprehensive Plan (the "City Plan"); and
WHEREAS, Ordinance No. 97-22, provided for such moratorium to be effective for an
initial period of 180 days from adoption thereof, and authorized such moratorium to be reasonably
extended; and
WHEREAS, the: City Council finds that work is being expeditiously pursued on the City
Plan, but that it is necessary to reasonably extend the moratorium, for an additionai period oi 120
days as provided herein, so that the City Plan is able to be completed and implemented.
NOW, THEREFORE, BE IT ORDAIN~D BY THE CITY COUNCIL OF THE CITY
OF A VENTURA, FLORIDA, AS FOLLOWS:
Section 1.
That Section 8 "Term," of Ordinance No. 97-22, is hereby amended to read

Section 8. Tenn.
The moratorium imposed by this Ordinance is temporary and
shall be effective for a period of ~ 300 days from ad9jltillR
~,September 16, 1997 unless dissolved earlier by the
City Council. Further, the moratorium shall automatically
dissolve upon the adoption of the City Plan, the formulation
and adoption of which shall be expeditiously pursued. The
moratorium may be reasonably extended, if necessary, but
shall not be extended beyond November I, 1998.
Section 2. Severability. The provisions of this Ordinance are declared to be severable and
if any section, sentence, clause or phrase of this Ordinance shall for any reason be held to be
invalid or unconstitutional, such decision shall not affect the validity of the remaining sections,
sentences, clauses, and phrases of this Ordinance but they shall remain in effect, it being the
legislative intent that this Ordinance shall stand notwithstanding the invalidity of any part.
Section 3. Effective Date. This Ordinance shall be effective immediately upon adoption on
second reading.

Re Issuance of Health Care Facilities Refunding and Improvement Revenue Bonds
(The Imperial Club Project) Series 1998 (the "1998 Bonds")
On July 14, 1992, the City of North Miami, Florida ("North Miami") issued $21,115,000
Health Care Facilities Revenue Bonds (The Imperial Club Project) Series 1992 (the "1992
Bonds") consisting of $15,115,000 Series A Bonds (first lien), $5,000,000 Series B Bonds
(second lien) and $1,000,000 Series C Bonds (third lien). The proceeds of the 1992 Bonds were
used to retire existing taxable debt on an independent living facility (the "Facility") called the
Imperial Club located at 2751 Northeast 183'd Street in unincorporated Dade County and to buy
out the ownership interests of a limited partnership which had developed the Facility.
The 1992 Bonds are secured by a Loan Agreement between the City and Affordable
Community Housing Trust-Alpha, a California non-profit public benefit corporation (the
"Corporation") pursuant to which North Miami loaned the 1992 Bond proceeds to the
Corporation and the Corporation used such proceeds to acquire title to the Facility by applying
such proceeds to satisfy the obligations mentioned in the preceding paragraph. Under the Loan
Agreement, the Corporation agreed to make annual loan payments sufficient to pay the principal
of and the interest on the 1992 Bonds until such Bonds are retired. North Miami's rights to
receive such loan payments were assigned to First Union National Bank of Florida, the Trustee
under a Trust Indenture between North Miami and the Trustee. Accordingly, North Miami has
no further involvement in this transaction since the loan payments are made directly by the
Corporation to the Trustee and the Trustee makes the payments to the bondholders.
The 1992 Bonds were structured so that significant principal amortization did not begin
until 1998. This fact plus the 10% interest borne by the 1992 Bonds now mandate a refunding so
that the cash flow produced by the Facility will be adequate to meet operating expenses and to

pay principal and interest on the bonded debt. This will be achieved by reducing interest by 2 to
3% and tailoring amortization to the projected cash flows of the Facility. The current owners of
the 1992 Bonds, consisting of the Eaton Vance Tax Exempt Funds, the American Capital Funds
and the Tessler family, the original developer of the Facility, have agreed to the debt
restructuring and will continue as the bondholders following the refunding. In addition to the
refunding, there will be a new money portion of the 1998 Bonds to finance certain improvements
to the Facility.
The Facility is located within the boundaries of the newly incorporated City of Aventura
("A ventura") so that A ventura is the logical issuer of the 1998 Bonds to refund the 1992 Bonds
and make improvements to the Facility.

The advantages to A ventura in acting as the issuer of the 1998 Bonds are as follows:
I. It will benefit a member of your community by restructuring the Facility's debt to
avoid the necessity for rental increases to the tenants of the Facility as well as
making improvements to the Facility.
2. There will be no liability of any nature on Aventura. The 1998 Bonds will be
payable solely from the revenues of the Facility. As a conduit issuer, Aventura
will have no responsibility even in the unlikely event of a default on the 1998
Bonds. We have attached a form of letter opinion which we rendered in 1991
with respect to the 1992 Bonds. The conclusions expressed in the letter opinion
will have equal application to the 1998 Bonds.
3. Aventura as the conduit issuer will be entitled to an up-front one-time fee upon
the issuance of the 1998 Bonds and will be entitled to an annual fee related to the
amount of 1998 Bonds outstanding each year. The amount of these fees is
negotiable. As a frame of reference, the Dade County Industrial Development
Authority, which acts as a conduit issuer principally on behalf of corporations
wishing to expand or relocate manufacturing facilities and occasionally on behalf
of health care facilities, charges an up-front fee of $.75 per $1,000 for the first
$5 million and $.50 per $1,000 the;'eafter which for a $21 million issue translates
to $117,500. The Authority advises that it would not charge the full up-front fee
to a health care institution. The annual fee is $1,000 per $1 million outstanding or
$21,000 in the first year and decreasing thereafter as principal payments occur.

The City by law can have no financial responsibility for the Bonds. The Bonds are
being issued under Chapter 159, Pan IL Florida Statutes which provides in relevant pan:
"159.33 Credit or state or political subdivisiou DOt pledged.-
(1) Bonds Issued under the provisions of this part shall not be
deemed to constitute a debt, liability, or obligation of the loW agency or of
the state or of any pc:Ilitical subdivision thereof, or a pledge of the faith and
credit of tho1ocal agency or of the state or of any such political subdivision,
bm sha1l be payable solely from the revenues provided therefor. Each bond

The purebasers of the First LieD Bonds are sophlsti"lted institutional buyers
which have conducted extensive diligelll:e as to the Project and its fisc:al
prospects. They will be hard pressed, given the lcvel of their participation in
~ rlevolopment of the 5nanc:ial structure and their invclligation of the
Project, to bring suit based on any misrepresentation by the City which is,
under Florida law, only a conduit issuer.

Please be advised that the Board of Directot:'8 of the Aventura
Chamber of Comaerce, Inc. has not approved its sponsorship of, or
participation in, any event managed by your firm, Taste of America
Productions, Inc., including specifically, the event you proposed
and have styled, "Aventut:'a New Wave Waterfront Festival."
In addition, please be further advised that the Chamber has
not given its approval for you or your organization to use the
Chamber's name, logo, telephone numbers or Dames of its members in
connection with the said event and demand is hereby made that you
immediately cease and desist from such activities.
Your remarks demeaning the officers of the Chamber are ill-
deserved in view of the fact that they must taxe direction from the
Chamber's Board of Directors. Furthermore, it i8 suggested that
personal attacks on officers of the Chamber undermine the community
